This End User Licence Agreement is a legal agreement between you, either an individual or a single organisation, and Rational Forge, covering the Rational Forge software product you have obtained, together with its associated media, printed materials and electronic documentation, referred to here as the Software. By installing, copying or otherwise using the Software, you agree to be bound by it. If you do not agree, do not install or use the Software.
Subject to your compliance with this agreement, Rational Forge grants you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software on computers you own or control, for your own personal or internal business purposes.
Evaluation. Pre-release versions are free, as section 6 explains. A general release may be used free of charge, with all of its features, for the evaluation period stated in the Software and on our website. After the evaluation period, a paid licence is required to continue using the Software without reminders, and is required for any continued use in the course of a business, trade or profession. The Software continues to work after the evaluation period and reminds you that it is not registered.
Paid licences. A paid licence is personal to one named individual, who may install and use the Software on every computer that individual owns or controls. A licence for more than one seat, bought by or for an organisation, covers the stated number of named individuals in that organisation. A paid licence covers the major version it was bought for, together with every update to that major version, for example every 1.x release. Whether a later major version requires a new purchase or an upgrade is set out when that version is released.
Licence keys. A paid licence is delivered as a licence key. Your licence key is personal to you, or to the individuals your licence covers. You must not share, publish or sell it, or allow anyone else to use it. A licence key whose payment has been refunded or reversed, or which has been shared or published, may be rejected by later versions of the Software.
You may make one copy of the Software for archival or backup purposes. Where the Software is obtained through an application store, the store's own rules on the number of installations and devices also apply.
Except where this agreement expressly allows it, where applicable law expressly permits it despite the restriction, or where Rational Forge has agreed otherwise in advance in writing, you may not:
The Software is licensed to you, not sold. Rational Forge and its licensors retain all right, title and interest in and to the Software, including without limitation all copyright and other intellectual property rights in it. This agreement gives you no rights other than the licence expressly granted in section 1. All rights not expressly granted are reserved.
The Software includes open-source components supplied by third parties, each governed by its own licence. Those licences, and the required notices and attributions, are listed in the third-party notices file distributed with the Software and shown in its About screen. Nothing in this agreement limits, or is intended to limit, your rights under those licences. Where a third-party licence conflicts with this agreement in respect of that component, the third-party licence governs that component.
Your settings, your connection details and any credentials you choose to save remain on your own device. Saved credentials are protected using the operating system's own per-user encryption. The Software connects only to the services you configure, only when you ask it to, and it sends nothing to Rational Forge.
Our Privacy Policy sets this out in full, in section 5.
Software identified as a beta, a preview or a pre-release is provided for evaluation only. It may contain errors, its behaviour may change without notice, and it may be withdrawn at any time. It is provided with no warranty of any kind whatsoever, and no undertaking that any defect in it will be corrected.
Pre-release versions are provided free of charge. Using a pre-release version does not entitle you to a free licence for any general release. General releases may require the purchase of a licence after an evaluation period, as section 1 describes, on the terms published when that release is made available.
This section adds to the rest of this agreement, it does not replace any part of it. Sections 7 to 11 apply to every version of the Software, whether it is a pre-release version or a general release, and they continue to apply without change when a pre-release version is superseded by a general release.
The Software is general-purpose software for managing files and other data. It is not designed, manufactured or intended for use in any environment where a failure, error or delay could lead to death, personal injury, or severe physical, environmental or financial damage. That includes, without limitation, medical, life-support, emergency, aviation, marine, rail, nuclear, weapons, industrial control and financial trading systems.
You must not use the Software in any such environment. If you do so, you do it entirely at your own risk, and Rational Forge disclaims all liability arising from that use to the fullest extent permitted by law.
To the fullest extent permitted by law, the Software is provided on an "as is" and "as available" basis, without warranty of any kind, whether express, implied or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Rational Forge does not warrant that the Software will meet your requirements, that it will operate without interruption or error, that it is entirely free of bugs, vulnerabilities or defects, or that any defect will be corrected. Some jurisdictions do not allow certain warranties to be excluded, in which case that exclusion does not apply to you and any implied warranty is limited to the shortest period the law allows.
The Software performs operations that create, copy, move, overwrite and permanently delete data, on your own computer and on any service you connect it to. Those operations do what you instruct. Once you start an operation, the Software may carry it out at once, and may change, overwrite or permanently delete data without asking you to confirm again. You are solely responsible for choosing them, for confirming you have selected the right items, for verifying the results, and for maintaining complete and current backups of anything you cannot afford to lose.
Rational Forge has no obligation to recover, restore or undo any operation you ask the Software to perform, and is not responsible for any loss of, or damage to, data arising from your use of the Software, however caused.
To the fullest extent permitted by law, Rational Forge is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of data, profit, revenue, goodwill or business, for business interruption, or for the cost of substitute software or services, arising out of or connected with the Software, whether the claim is based on contract, negligence, strict liability or anything else, and even if Rational Forge was told such damages were possible.
To the fullest extent permitted by law, your sole and exclusive remedy for any claim arising out of or connected with the Software is the recovery described in this section, and the total aggregate liability of Rational Forge under this agreement is limited to the greater of the amount you paid us for the item giving rise to the claim in the twelve months before the claim arose, or ten Canadian dollars. This limit applies in the aggregate across all claims, not to each claim separately, and it applies to every version of the Software, whether a pre-release version or a general release. If the law that governs your use of the Software does not allow a total liability cap as low as ten Canadian dollars, the total aggregate liability of Rational Forge is instead limited to the lowest amount that law allows.
These exclusions and limits apply even if a remedy set out in this agreement fails of its essential purpose, even if Rational Forge knew or should have known that the damages were possible, and even if a repair, replacement or refund does not fully compensate you for a loss. They are an essential element of the basis of the bargain between you and Rational Forge, and the Software is licensed to you on the terms and at the price it is in reliance on them.
Nothing in this agreement excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
To the fullest extent permitted by law, any claim or cause of action arising out of or connected with the Software or this agreement must be brought within one year after the event giving rise to it, or it is permanently barred. Where the law of your jurisdiction does not permit a limitation period to be shortened by agreement, this section does not apply to you and the period that law provides applies instead.
This licence continues until it is terminated. It terminates automatically if you breach any of its terms. A paid licence also ends if the payment for it is refunded or reversed. You may terminate it at any time by uninstalling the Software and destroying all copies of it. On termination you must stop using the Software and remove it from your devices. Sections 3, 4, 7, 8, 9, 10, 11, 13 and 14 survive termination.
You must comply with all export control and economic sanctions laws that apply to your use of the Software, including those of Canada and, where they apply, of the United States. You confirm that you are not located in, and are not a national of or ordinarily resident in, any country or territory subject to a comprehensive government embargo, and that you are not a person with whom dealing is prohibited under any applicable sanctions or denied-party list. You may not use, export, re-export or transfer the Software, including any encryption functionality it contains, except in compliance with those laws.
This agreement is governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts of British Columbia have exclusive jurisdiction over any dispute. If you are a consumer, this does not deprive you of the protection of mandatory consumer laws where you live.
Our Terms of Service and Privacy Policy cover everything else Rational Forge does, including our websites and our issue tracker. The indemnity in our Terms of Service applies to your use of the Software as it does to the rest of the Services. Where any of those documents conflicts with this one about licensing the Software itself, this agreement controls.
Rational Forge may grant permissions that go beyond this agreement, for example a right to redistribute the Software, or to do something section 2 otherwise prohibits. Any such permission, and any waiver of any part of this agreement, is effective only if we give it in writing. It reaches only as far as its own wording, applies only to the person we gave it to, and waives nothing else. If you hold a separate written agreement with Rational Forge covering the Software, that agreement governs to the extent it conflicts with this one.
If any provision of this agreement is found unenforceable, the rest continues to apply, and that provision is limited only as far as necessary. A failure to enforce a provision is not a waiver of it. You may not assign this agreement. Rational Forge may assign it as part of a sale or reorganisation of its business.
Rational Forge may update this agreement for future versions of the Software. Where it does, you will be presented with the updated agreement, and continuing to use that version after being shown it constitutes acceptance. Your rights in the version you already have are not changed retroactively.
